1.  What is Compliance’s mission critical contribution?

2.  What options are available to report a potential compliance violation?
Consistent with Mylan’s steadfast commitment to ethical business practices, there are several different resources available to employees if they have compliance-related questions and concerns. If you have concerns about any compliance-related matter or practice, or if you wish to report a potential violation of the Mylan’s “Code of Business Conduct and Ethics” or any other policy, procedure, law or regulation, you can bring that matter to the attention of the Office of Global Compliance (OGC) in any of the following ways:

3. Who will document my compliance report?
Our service provider, The Network, Inc. (“The Network”) will receive and document compliance reports received via the Compliance Line, confidential online portal and the confidential mail address. The Network is an independent, third-party reporting service operating out of the U.S. that has vast experience in administering programs that foster an ethical workplace and assist in risk mitigation. The Network will document your concern and relay the information to Mylan for investigation and follow-up.

For reports received through the confidential email addresses, the OGC will receive and investigate these matters.

4. Who at Mylan will manage the case? ?
After The Network documents your concern and determines that it is reportable pursuant to applicable law, it will be communicated to the chief compliance officer for resolution. An investigation will be conducted in accordance with Mylan policies. If you provide contact information, the OGC may reach out to you for information related to your report.

5. What information should be submitted through the various reporting resources available?

In North America, Australia / New Zealand, India, Japan and Emerging Markets:
Any potential violation of law or regulation, or related to any one of the categories specified in the list below:

  • Accounting / financial reporting;
  • failure or breach of internal controls;
  • breach of confidentiality;
  • unauthorized disclosure of trade secrets or sensitive business information;
  • breach of data privacy;
  • interactions with healthcare providers;
  • donations or grants;
  • government price reporting;
  • conflict of interest;
  • bribery;
  • property damage, destruction or theft;
  • falsification of Company documents;
  • environmental, health and safety;
  • fraud;
  • danger to persons’ physical or psychological health or safety;
  • IT system abuse or damage.

In the EU:
Due to specific legal restrictions in certain EU countries, Mylan is authorized only to accept reports relating to serious risks to the Company in the fields of accounting, financial reporting, internal controls, fraud, financial audit, bribery, banking, or other financial and accounting matters (such as false accounting entries, tax evasion, employment of fictitious personnel, bribery, payments to government officials, terrorism funding, money laundering and the like).

In other countries, Mylan may also be authorized to receive reports of compliance-related matters that relate to facts of particular seriousness which could affect the Company’s vital interests or its employees’ physical safety or psychological health or safety.

Mylan encourages employees to report any and all compliance-related matters that they know have taken place or have a good reason to suspect have taken place. The Network is familiar with the laws and regulations in each country and will inform you if your report goes beyond the permissible scope.

6. Will my report be treated anonymously and confidentially?
Yes, all information received through any of Mylan’s reporting resources will be treated confidentially. If you so choose and where permissible under local law, you may also report anonymously. However, since additional information about your report may be needed, we recommend that you provide contact information (phone, email, etc.) so that the OGC can follow up with you.

7. Is the Mylan Compliance Line a secure site?
The Mylan Compliance Line uses Secure Socket Layer technology which ensures that all information sent to the Compliance Line is encrypted and protected against disclosure to third parties.

Compliance Line is managed by a third-party, The Network, and is available 24 hours a day, 7 days a week. The Network will document your concern and relay the information to Mylan .
